These Terms of Service (“Terms”) are a binding agreement between AllStar Fundraiser, LLC (“AllStar,” “we,” “us,” or “our”) and the person or entity accessing or using our websites, software, administrative tools, campaign pages, and related services (collectively, the “Services”).

By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you are authorized to bind that organization to these Terms.

1. Our role

AllStar provides software and administrative tools to nonprofit organizations for use in fundraising and campaign management. Unless expressly stated otherwise in the official rules for a specific campaign:

• AllStar is not the sponsor of any nonprofit campaign;
• AllStar does not solicit donations on behalf of nonprofit organizations;
• AllStar does not print, distribute, or transfer physical tickets to contributors on behalf of nonprofit organizations;
• AllStar does not collect campaign funds on behalf of nonprofit organizations;
• AllStar does not guarantee fundraising outcomes; and
• AllStar does not guarantee that any campaign is lawful in any jurisdiction.

AllStar may generate electronic ticket records, campaign materials, administrative workflows, and related software functionality for use by nonprofit organizations. Each nonprofit organization remains solely responsible for its campaign.

2. Eligibility

You may use the Services only if:

• you are at least 18 years old;
• you have the legal capacity to enter into this agreement;
• all information you provide is truthful, current, and complete; and
• your use of the Services complies with applicable law.

If you use the Services as an administrator or on behalf of a nonprofit organization, you further represent, warrant, and covenant that:

• you are authorized to act for and bind the organization;
• the organization is a nonprofit organization in good standing under applicable law;
• the organization is legally eligible to solicit donations, conduct promotions, and run its campaign in each jurisdiction where it advertises, distributes tickets, accepts entries, or awards prizes;
• the organization will maintain any required registrations, licenses, exemptions, or approvals;
• all collected funds will be used in accordance with law and the organization’s stated charitable purposes; and
• the organization has consulted its own legal, tax, and other advisors as appropriate.

3. Campaign responsibility

Each organization using the Services is solely responsible for its campaign, including:

• campaign legality and jurisdictional compliance;
• charitable solicitation compliance;
• sweepstakes, raffle, contest, gaming, and promotion compliance;
• ticket distribution;
• administration of free methods of entry;
• prize fulfillment;
• winner notifications;
• tax reporting, withholding, and filings;
• donor and entrant communications; and
• the accuracy of all campaign-specific content.

When an organization distributes a ticket or accepts an entry, donation, or contribution in connection with a campaign, the organization is solely responsible for the legal relationship between itself and the entrant, contributor, donor, or ticket holder.

4. Official rules and campaign materials

Organizations must maintain clear official rules for each campaign. Those rules must accurately describe, as applicable:

• sponsor identity;
• eligibility;
• geographic restrictions;
• start and end dates;
• no-purchase-necessary disclosures;
• free method of entry;
• prize descriptions;
• odds or method of determining odds;
• winner selection procedures;
• tie procedures;
• claim procedures and deadlines;
• tax and release requirements; and
• any other required disclosures.

Organizations are responsible for ensuring that ticket summaries, campaign pages, and official rules are consistent.

5. Privacy and contributor data

You may receive personal information through the Services, including information relating to contributors, entrants, ticket holders, and winners. You may use such information only for lawful campaign administration and related purposes authorized by applicable law.

You may not use contributor or entrant information for unrelated or cross-promotional marketing without any consent required by law. Where consent is required, you must obtain separate, verifiable consent.

You represent and warrant that you have all rights, permissions, notices, and consents required to provide any personal information to AllStar and to authorize AllStar to process that information in connection with the Services.

6. Prohibited conduct

You may not:

• use the Services for any unlawful purpose;
• run a campaign that is false, deceptive, misleading, or prohibited by law;
• distribute inaccurate or inconsistent official rules or campaign materials;
• violate privacy, consumer protection, charitable solicitation, tax, gaming, advertising, or anti-spam laws;
• upload malicious code or interfere with the operation or security of the Services;
• access the Services without authorization;
• scrape, crawl, reverse engineer, or otherwise misuse the Services except as permitted by law; or
• submit content that infringes intellectual property or other rights.

7. User content

You retain ownership of content you submit to the Services (“User Content”), subject to the rights you grant below. You grant AllStar a non-exclusive, worldwide, royalty-free license to host, store, reproduce, modify, display, and use User Content as reasonably necessary to operate, improve, secure, support, and provide the Services.

You are solely responsible for User Content you provide and for ensuring it is accurate and lawful.

8. Accounts and security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us promptly of any unauthorized use or suspected security incident involving your account.

9. Fees

If you purchase a software license, subscription, or related service from AllStar, you agree to pay the fees specified in your order form, invoice, subscription, or other agreement. Unless otherwise stated, fees are non-refundable.

10. Third-party services

The Services may interoperate with or contain links to third-party services, websites, payment providers, analytics providers, or tools. We do not control and are not responsible for third-party services.

11. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” TO THE MAXIMUM EXTENT PERMITTED BY LAW. ALLSTAR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING:

• AllStar does not guarantee that the Services will be uninterrupted, error-free, or secure;
• AllStar does not guarantee the success, legality, or compliance of any campaign;
• AllStar does not provide legal, tax, accounting, fundraising, or other professional advice; and
• AllStar does not guarantee the accuracy of campaign content supplied by organizations or other users.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALLSTAR AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF ALLSTAR FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID ALLSTAR FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless AllStar and its affiliates, officers, directors, employees, contractors, licensors, and agents from and against any claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

• your use of the Services;
• your User Content;
• your campaign;
• your violation of these Terms; or
• your violation of any law or third-party right.

14. Suspension and termination

We may suspend or terminate access to the Services at any time if we believe you have violated these Terms, created risk for us or others, or if continued access is no longer commercially or legally feasible.

15. Changes to the Services or Terms

We may modify the Services or these Terms from time to time. We will post updated Terms on this page and revise the effective or updated date above. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms, to the extent permitted by law.

16. Governing law and venue

These Terms are governed by the laws of the State of [State], without regard to conflict-of-law principles, except to the extent superseded by applicable federal law. Any dispute arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in [County, State], unless applicable law requires otherwise.

17. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver. These Terms, together with any order form, official rules incorporated by reference, and policies expressly incorporated herein, constitute the entire agreement between you and AllStar regarding the Services, except where a separate written agreement applies.
